TERMS OF SERVICE

IMPORTANT NOTICE REGARDING SCOPE
This Agreement governs the use of the BUTTR FX plugin and all plugin-based content, including Artist Expansion Packs, presets, chord libraries, and effects (collectively, “Plugin Content”).
This Agreement does NOT apply to BUTTR Loop Packs consisting of raw downloadable audio files (e.g., WAV or AIFF files), which are governed by the BUTTR Loop Pack License Agreement.
ANY PERSON OR ENTITY (“User” or “You”) ACCESSING OR USING the website located at buttrfx.com (“Site”), OR DOWNLOADING, INSTALLING, OR USING the BUTTR FX plugin or any Plugin Content (collectively, the “Services”), AGREES TO BE BOUND BY THIS END USER LICENSE AGREEMENT (“Agreement”).
If You do not agree to these Terms, You must not use the Services.
You also agree to our Messaging Terms and Messaging Privacy Policy where applicable.
1. Contracting Parties
The Site and Services are owned and operated by BUTTR FX Inc. (“BUTTR FX,” “we,” “us,” or “our”), a corporation incorporated under the laws of Ontario, Canada. By using the Services, You are entering into a binding contract with BUTTR FX Inc.
2. Personal Data
You agree to provide accurate, current, and complete information. Any personal data provided will be processed in accordance with our Privacy Policy, which forms part of this Agreement.
3. The Services
BUTTR FX provides digital music production software and related services (“Products”), including:
• Software Files — the BUTTR FX plugin and related applications
• Plugin Content — presets, chord libraries, effects, and Artist Expansion Packs that function exclusively within the Plugin
• Documentation — manuals, tutorials, and instructional materials
For clarity:
• Artist Expansion Packs are Plugin Content governed by this Agreement
• BUTTR Loop Packs are NOT Plugin Content and are governed by the BUTTR Loop Pack License Agreement
4. Grant of License
Subject to compliance with this Agreement and payment of applicable fees, BUTTR FX grants User a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Plugin and Plugin Content for personal and professional music production.
This license permits User to create, reproduce, perform, distribute, and commercially exploit musical works created using the Plugin (“Works”), provided that the Plugin or Plugin Content is not distributed in isolation.
5. License Restrictions
User may NOT:
• sell, share, sublicense, lease, rent, distribute, or otherwise transfer the Plugin or Plugin Content except as embedded in a Work
• use the Plugin or Plugin Content to develop, design, train, enhance, or distribute any software, plugin, sound library, preset pack, or other product or service that competes with BUTTR FX
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code
• circumvent any copy protection or license management mechanisms
• use the Plugin or Plugin Content to train artificial intelligence, machine learning, or generative systems without prior written consent
For clarity, nothing in this section prohibits using the Plugin alongside third-party software or tools in a music production workflow.
6. Commercial Use of Works
User may freely distribute and monetize Works incorporating Plugin Content, including:
• commercial music releases
• synchronization placements
• audiovisual productions
• live performances
• digital distribution
No royalties or additional payments are owed to BUTTR FX for such uses.
7. Ownership
All rights, title, and interest in and to the Plugin and Plugin Content remain exclusively with BUTTR FX and its licensors. User receives only the license rights expressly granted in this Agreement.
8. Intellectual Property
The Plugin, Plugin Content, trademarks, and all related intellectual property are protected by copyright and other laws. Except for the rights expressly granted, no rights are transferred to User.
9. Acceptable Use
Permitted Uses
User may:
• use the Plugin and Plugin Content in original music productions
• distribute Works worldwide
• use the Plugin in professional studios
• collaborate with other creators, provided each collaborator using the Plugin holds a valid license
Prohibited Uses
User may NOT:
• extract or distribute Plugin Content in raw or standalone form
• upload Plugin Content to public libraries or marketplaces
• claim Plugin Content as original content
• create competing audio products using Plugin Content
10. Publicity & Promotional Use
If User uses the Plugin or Plugin Content (including Artist Expansion Packs) in connection with a Work that results in a public release, placement, or commercial exploitation, User grants BUTTR FX a non-exclusive, royalty-free right to reference, repost, and promote such Work solely for marketing and promotional purposes, including digital, social, press, and presentation materials.
Such use will not imply endorsement by User unless otherwise agreed in writing. BUTTR FX will respect reasonable written confidentiality obligations communicated prior to public announcement.
11. Payments & Pricing
Prices are displayed on the Site and may change at any time. Payments are processed by authorized third-party providers.
12. Refund Policy
Plugin and Artist Expansion Pack purchases are final once a license is issued or activated, subject to applicable consumer protection laws.
13. User Conduct
User agrees not to:
• violate applicable laws
• interfere with system integrity
• attempt unauthorized access
• use automated scraping tools
14. Warranties & Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied.
15. Limitation of Liability
To the fullest extent permitted by law, BUTTR FX’s liability shall not exceed the amount paid by User for the applicable Product.
16. Termination
BUTTR FX may suspend or terminate this Agreement if User breaches its terms. Upon termination, all license rights immediately cease.
17. Indemnification
User agrees to indemnify and hold harmless BUTTR FX from any claims arising out of User’s misuse of the Services or violation of this Agreement.
18. Export Control
User agrees to comply with all applicable export laws and regulations.
19. Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
20. Entire Agreement
This Agreement, together with the Privacy Policy and any referenced policies, constitutes the entire agreement between User and BUTTR FX regarding the Services.
